Terms of Service

Short version: Download the app for free, buy a license on perch-review.dev, activate it in the app. One license per person. Cancel any time — all purchases are final.

1. Acceptance of Terms

By downloading, installing, or using Perch Review ("the Software"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Software.

Subject to your active subscription, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or control for your personal or internal business purposes. One subscription covers one individual user.

4.1 Plans and Payment

Perch Review is available as a monthly subscription (€9.00/month) or an annual subscription (€89.00/year). Payments are processed by Paddle.com Market Ltd, who acts as Merchant of Record. This means your bank statement will show a charge from "Paddle" or "paddle.com", not "Perch Review". Paddle handles VAT collection and remittance on our behalf.

4.2 Free Trial

New users receive a 14-day free trial. No credit card is required to begin the trial. At the end of the trial period, you must purchase a subscription on perch-review.dev to continue using the Software.

4.3 Renewal

Subscriptions renew automatically at the end of each billing period. You can cancel at any time via your customer portal to prevent the next renewal.

4.4 Price Changes

We will provide at least 30 days' notice before changing subscription prices. The new price applies at your next renewal after the notice period.

5. Refund Policy

All purchases are final and non-refundable. By starting a paid subscription after your free trial, you acknowledge that no refunds will be issued for the current or any past billing period.

Cancellation stops future renewals but does not generate a refund for the already-paid period. You retain access to the Software until the end of the current billing period.

If you believe an error occurred with your billing, contact support@perch-review.dev and we will review your case individually.

6. Cancellation

You can cancel your subscription at any time through the customer portal accessible from within the app, or by contacting support@perch-review.dev. Cancellation takes effect at the end of the current billing period.

7. License Validation

The Software validates your license key against our backend hosted on Cloudflare Workers. An internet connection is required for initial activation. Subsequent use is permitted offline for up to 7 days before revalidation is required.

8. Intellectual Property

The Software and all associated content are the exclusive property of Perch Review and protected by copyright law. These Terms do not transfer any ownership rights to you.

9. Third-Party Services

The Software integrates with GitHub, GitLab, and Ollama. Your use of those services is governed by their respective terms. We are not responsible for the availability or behavior of third-party services.

10. Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Software will be error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the European Union and the country in which the operator is registered. If you are a consumer in the EU, you may also have rights under the mandatory consumer protection laws of your country of residence.

13. Changes to Terms

We will notify active subscribers by email at least 14 days before material changes take effect. Continued use after that date constitutes acceptance of the new Terms.
